What is a power of attorney?

It is a document by which one person grants permission to another to act legally on their behalf.

How many types of power of attorney are there?

Two exist:

  • The general power of attorney that is granted for all businesses or procedures, is delivered to carry out various procedures without losing validity and will always be recorded in a public deed.
  • The special power, which includes one or more specific businesses. It is only delivered for the execution of a specific procedure and generally consists of a private document.

Both can be granted via public deed, however, the general power of attorney must always be conferred through it.

Who is responsible for the actions that are managed with a power of attorney?

If the person who receives the power (agent) acts within their sphere of power, the effects of it fall on the person who delivers the power (main subject). The general power of attorney grants powers without limitation, except for the exclusions or prohibitions that are agreed upon therein or that are provided for by law; for example, making a will.

What data should this document contain?

General power:
It must have the exact and complete information of the parties (who gives up the power of attorney and who receives it), a signature and seal of the notary. If there is any limitation, it must be specified.

Special power:
Exact and complete information of the parties (who gives up the power of attorney and who receives it), a detailed description of the act to be performed, natural or legal person to whom it is addressed, signature and seal of the notary.

If the document refers to one or more properties, it must include the real estate registration and the cadastral code and it must be entered in the repository of powers (VUR).

The power of attorney must be personally authenticated at the notary, with original identity documents.

When the person who grants the power of attorney is a company, the official before whom it is granted shall state that he had before him the evidence of the existence of that company and that the person who confers it is its representative, in the same way it will proceed when the person who grants the power has a power of attorney over a person.
